IN TERMS OF SECTION 11 OF THE ELECTRONIC COMMUNICATIONS AND TRANSACTIONS ACT, 25 OF 2002 (hereinafter the “ECT Act”) AND THE COMMON LAW THESE TERMS AND CONDITIONS ARE VALID, BINDING AND ENFORCEABLE AGAINST ALL PERSONS THAT ACCESS THE GURU NETWORK WEBSITE OR USE THE SERVICE THROUGH THE GURU NETWORK WEBSITE. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MUST LEAVE THE WEBSITE IMMEDIATELY AS FURTHER USE WILL AUTOMATICALLY BIND YOU TO THESE TERMS AND CONDITIONS.
The Guru Network Website is owned and operated by Rivarox (Pty) Ltd for the benefit of Independent Service Providers and members of the public.
All members of the public can register on the Guru Network Website but benefits may be limited at the absolute discretion of Rivarox (Pty) Ltd.
DEFINITIONS AND INTERPRETATION
In this agreement, unless the context otherwise requires, the following expressions shall have the following meanings:
- “Guru Network” means RIVAROX (PTY) LTD, reg. no. 2009/014450/07of 474c Dereks Lane , Lynnwood , Pretoria , Gauteng , South Africa ;
- “Guru Network” means a division of Rivarox (PTY) LTD and is the brand name used for this Website;
- “FNB” means First National Bank LTD reg. no. __________/06, a public company duly incorporated in accordance with the laws of the Republic of South Africa with its registered address at _____________________
- "Website" means the Rivarox (PTY) LTD Website, including the services available on and through the Website and any page, part or element thereof;
- "ISP" means Independent Service Provider and includes any natural person, juristic person or trust who enters, registers and uses the Website to redeem vouchers and uses the Website for any related purpose;
- “User” means any member of the public who enters, pays for a voucher through or on the Website and uses the Website for any related purpose;
- “Voucher” means any actual voucher which is used by Users to pay for services rendered by ISP’s and consists of a number sent by Guru Network via sms to Users;
- “Service” means the service of ISP’s to users and includes, but is not limited to, academic classes, music classes and sport classes;
- “Person” means any natural person, juristic person or trust and includes all Users and ISP’s as defined above;
- References herein to the singular includes the plural and vice versa; and
- Hyperlinks herein to legal documents should be deemed part of these terms and conditions in terms of section 11(3) of the ECT Act . The fact that some or all of the hyperlinks may, from time to time, be non-operational, shall not affect the validity of this agreement and the interpretation of the said terms and conditions.
- GENERAL
- Guru Network is a web based program that provides a collection service to ISP’s. Additional services, benefits and discounts could be included or removed at the absolute discretion of Guru Network.
- Guru Network provides this collection service by way of vouchers ( but always subject to the terms and conditions set out herein) , which vouchers are used by Users to pay ISP ’s for services rendered to them.
- ALLOWED USE AND LICENSE
- Guru Network licenses Users to view, download and print the content of the Website provided that such use is for private, personal, educational, and/or non-commercial purposes only.
- Content from the Website may not be used or exploited by Users for any commercial and non-private purposes without the prior written consent of Guru Network.
- Users may only access, browse and use the Website for the permitted purposes and in particular, may not use the Website for:
- Harmful purposes;
- Illegal purposes;
- Disclosing, sharing or publishing material that may be offensive, defamatory, regulated, copyrighted, incorrect, untrue, prohibited, infringing or damaging to any person; and/or
- The creation, storage and sending of unsolicited commercial communications.
- The caching of the Website shall only be allowed if:
- The purpose of the caching is to make the onward transmission of the content from the Website more efficient;
- The cached content is not modified in any manner whatsoever;
- The cached content is updated at least every 12 (twelve) hours; and
- The cached content is removed or updated when so required by Guru Network.
- If any User uses content from the Website in breach of the provisions detailed herein:
- Guru Network reserves the right to claim damages from the User;
- Guru Network reserves the right to lay a criminal charge against the User; and
- Guru Network shall not be liable, in any manner whatsoever, for any damage, loss or liability that resulted from the use of such content by the User or any third party who obtained any content from the User, in breach of the provisions of this agreement.
- Hyperlinks to the Website from any other source shall be directed at the home page of the Website. Links beyond the Guru Network home page may only be made with Guru Network’s prior written consent.
- Guru Network shall not be liable, in any manner whatsoever, for any damage, loss or liability that resulted from the use of content, products or services available from the Website, if such content, products or services were accessed through a hyperlink not directed at the home page of the Website. Persons wishing to link to pages beyond the home page of the Website without Guru Network’s prior written consent shall do so at their own risk and indemnify Guru Network against any loss, liability, or damage that may result from the use of such hyperlinks. Guru Network’s refusal to accept liability for deep linking is because deep links bypass these terms and conditions of use of the Guru Network Website.
- Users may quote small and reasonable amounts of content available on the Website, but only if such quotation is placed in inverted commas and an acknowledgement is given to the effect that such quotation was taken from the Guru Network Website.
- No person may, without the prior written consent of Guru Network, frame the Website in any manner whatsoever.
- Apart from bona-fide search engine operators and use of the search facility provided on the Website for Users, no person may use or attempt to use any technology or applications (including web crawlers, robots or web spiders) to search, collect or copy content from the Website for any purpose whatsoever, without the prior written consent of Guru Network.
- E-mail addresses, names, telephone numbers, physical addresses and fax numbers published on the Website may not be incorporated into any database used for electronic marketing or similar purposes. No permission is given or should be implied that information on the Website may be used to communicate unsolicited communications to Guru Network and all rights detailed in section 45 of the ECT Act are reserved.
- All licenses and/or permissions granted in terms of this clause 2 are provided on a non-exclusive and non-transferable basis and may be terminated or cancelled by Guru Network at any time without prior notice or reasons.
- Use of the Website requires once-off registration whereby a User enters a Username, password and his e-mail address. Thereafter an e-mail is automatically sent to the User’s e-mail address. Users have to click on a link on the e-mail sent to their address in order to activate their profile, whereafter they are required to provide further personal details. Thereafter Users are obliged to enter their Username and password every time they enter (log in) and use the Website. The User undertakes to ensure that his Username and/or Password are not disclosed to any third party and to immediately report to Guru Network any actual or potential unauthorised access to or use of his Username and/or Password.
- The User agree that all instructions, consents, orders and other communications (hereinafter “the communication”) which purport to originate from the User or a person who had authority to act on the User’s behalf (unless it is proved by you that such information system did not properly execute such communication) (hereinafter “the originator”) and which communications are sent to Guru Network electronically and which may (as a result of interception, equipment malfunction, the distortion of communication links or any other reason whatsoever) be different from the instructions actually sent or given, or may not have been given by you at all, shall nevertheless be deemed to have been given by the originator in the form actually received by Guru Network and you will be bound by such instruction with no liability of whatever nature attaching to Guru Network in regard thereto.
- The User waive any rights that he may have or obtain against Guru Network arising directly or indirectly from any loss or damage of whatsoever nature which he or she may suffer as a result of the fact that Guru Network acts on the User’s communication(s) purported to emanate from the User and the User indemnify Guru Network against all and any claims, liabilities, losses, costs, fines, damages and expenses incurred (whether directly or indirectly) by the User, arising as a result of the fact that Guru Network has acted on such communication(s).
- INTELLECTUAL PROPERTY RIGHTS
- All intellectual property on the Website, including but not limited to content, trademarks (whether registered or not), trade names, logos, pictures, video, downloads, domain names, patents, design elements, software, source code, meta tags, databases, text, graphics, icons and hyperlinks are the property of or licensed to Guru Network and as such, are protected from infringement by domestic and international legislation and treaties. Subject to the rights licensed to the User in Clause 2, all other rights to intellectual property on the Website are expressly reserved in favour of Guru Network.
- No person shall amend, copy, use, decompile and/or reverse engineer the source code of the Website.
- No person may use logos, icons, or trademarks from the Website as hyperlinks or other purposes without Guru Network’s prior written consent.
- SOFTWARE AND EQUIPMENT
It is the responsibility of the User to acquire and maintain, at his/her own expense, the necessary computer hardware, software, communication lines and Internet access accounts required to access the Internet and the Website and/or download content from the Website.
- DISCLOSURES REQUIRED BY SECTION 43 OF THE ECT ACT
Access to the Website may be classified as "electronic transactions" as defined in terms of the ECT Act and therefore Users have the rights detailed in Chapter 7 of the ECT Act and Guru Network has, amongst others, the duty to disclose the following info rmation, which info rmation is hereby disclosed as follows:

- Orders, process, delivery and risk
- Prices displayed for vouchers may vary or change without prior notice.
- Every User receives a reference number via the Website when he/she registers. This reference number is then used by the User when making any payment into Guru Network’s bank account.
- Every User may also select a default voucher on the Website. If a default voucher is selected, every payment by a User into Guru Network’s bank account, will trigger a voucher number (default voucher) being sent via sms to the User, provided that enough money is paid to cover the cost of the default voucher. If enough money to cover the cost of more than one voucher has been paid by the User, the User will qualify for that number of vouchers, which will be sent to the User, and the User’s account will be credited with any surplus amount. This surplus will then be used and taken into account when further payments are made by the User. Any payment made by a User into Guru Network’s bank account cannot be withdrawn by the User unless expressly agreed to by Guru Network in writing. A voucher number will only be sent to the User via sms once payments are received and cleared by Guru Network. This may take anything from 24 to 72 hours or longer, depending on the bank from which payment is effected and type of payment.
- If a User has not selected a default voucher, any monies paid into Guru Network’s bank account will be credited to the User’s account. A User’s account will only be credited once payments are received and cleared by Guru Network. This may take anything from 24 to 72 hours or longer, depending on the bank from which payment is effected and type of payment. A User will then be able to select a voucher type on the Website and subject to available funds in his account, will be provided with a voucher number via sms after selection of a specific voucher type. Any surplus amount left in the User’s account, will be used and taken into account when further payments are made by the User and/or further voucher types selected on the Website.
- Banking is processed manually on a daily basis and technical or other problems may delay or prevent payment by Users being cleared. Guru Network will notify the User should any vouchers not be available (be discontinued) or should pricing be changed.
- Users are advised not to reprocess payments as this may lead to a duplicate transaction for which the User will be held liable.
- A transaction will only be deemed to have been concluded once payment has been cleared by Guru Network .
- All payments received by Guru Network will only be processed once payment has been cleared by Guru Network to its satisfaction.
- Delivery of voucher numbers via sms is not guaranteed and Guru Network does not accept any liability whatsoever for late deliveries of such sms’s.
- Guru Network reserves the right to verify the identity of any purchaser or the payment method used. This may require that the User is being required to, amongst other things, send Guru Network a copy of his or her identity document, and proof of residence.
- Vouchers paid for and received have an expiry date of 365 days from date of receipt by the User. Vouchers not redeemed by ISP’s within 365 days (from date of receipt by the User) will automatically expire.
- Payment can only be made by direct deposit or electronic transfer. Guru Network reserves the right to debit a User’s account with any cash handling fees, RD cheque-cost and any other bank charges for which Guru Network may be liable due to any User’s payment.
- Refunds will be made in the manner elected by Guru Network in its sole discretion.
- Users will have full access to all their transactions in the “My Account” section of the Website.
- WARRANTY, RETURN, EXCHANGE OR REFUND POLICY OF THE WEBSITE
- The display of vouchers on the Website is not a guarantee that a voucher or service is immediately available or at all.
- Any voucher delivered to a User that is faulty (i.e. unable to be redeemed) will be exchanged or refunded to the User provided that such User informs Guru Network in writing by email at admin@gurunetwork.co.za or by fax at 0866 027 826 of such fault within 48 hours of delivery of the voucher.
- If a voucher is presented to an ISP by a User, and such ISP accepts the voucher as payment for services rendered, but it turns out (at any stage within 48 hours of a User providing an ISP with such voucher) that such voucher is faulty or already redeemed, the User will be liable, subject to 7.2 above, to purchase another voucher and deliver it to the said ISP in order to complete payment for services rendered.
- If a dispute arises as to whether or not a voucher is faulty or already redeemed, Guru Network will have the final say and all Users and ISP’s will be bound by such decision.
- ISP’s are advised to immediately after receipt of a voucher to validate same on the internet/ via sms.
- The User is advised to keep all documentation including voucher numbers for safekeeping for at least 7 days after providing same to ISP’s. No exchange or refund claims will be entertained unless the voucher number is presented.
- Guru Network does not warrant or imply that any voucher or service obtained through the Website is fit for the purpose for which it is to be used, or that it has the ability to achieve a particular result and no warranty is given relating to the quality of a particular voucher or service.
- Guru Network is not liable for any stolen vouchers.
- COOLING OFF RIGHTS
In addition to the rights set out in the Guru Network policy, if the User qualifies as a consumer in terms of the ECT Act the User may enjoy certain cooling-off rights in terms of which the User may cancel any registration as User within 7 (SEVEN) days after the date of registration, without reason or penalty. This right does not apply to those items listed in Section 42 of the ECT Act.
- CHANGES AND AMENDMENTS
Guru Network reserves the right, in its sole and absolute discretion, to do any of the following, at any time without prior notice or justification:
- change these terms and conditions;
- change the content and/or service available from the Website;
- discontinue any aspect of the Website or service(s) available from the Website; and/or
- change the software and hardware required to access and use the Website.
- PRIVACY
- Guru Network shall take all reasonable steps to protect the personal information of Users and for the purpose of this clause, "personal information" shall bear the meaning as defined in Section 1 of the ECT Act.
- Guru Network may electronically collect, store, process and use the following personal information of Users:
- name and surname;
- area code;
- street address;
- postal address;
- title;
- contact numbers;
- non-personal browsing habits and click patterns;
- e-mail address; and / or
- IP address.
- ID number
- Bank account number
- Guru Network collects, stores and uses the abovementioned information for the following purposes:
- Communicate requested information to the User;
- Authenticate the User;
- Provide the User with access to restricted pages on this Website; and / or
- Compile non-personal statistical information about browsing habits, click-patterns, and access to the Website.
- Information detailed above is collected either electronically by using cookies or is provided voluntarily by the User. Users may determine cookie use independently through their browser settings.
- Guru Network may collect, maintain, save, compile, share, disclose and sell any information collected from Users, subject to the following provisions:
- Guru Network shall not disclose the User’s personal information to third parties other than FNB, unless the User consents thereto and the User herewith irrevocably consents that Guru Network may provide any and all personal information of the User to FNB;
- Guru Network shall disclose personal information without the User's consent only through due legal process; and
- Guru Network may compile, use and share any information that does not relate to any specific individual.
- Guru Network owns and retains all rights to non-personal statistical info rmation collected and compiled by Guru Network.
- HYPERLINKS TO THIRD PARTY SITES
- Guru Network may provide hyperlinks to Websites not controlled by Guru Network ("target sites") and such hyperlinks do not imply any endorsement, agreement on or support of the content, products, and/or services of such target sites.
- Guru Network does not editorially control the content, products and/or services on target sites and shall not be liable, in any manner whatsoever, for the access to, inability to access, use, and inability to use or content available on or through target sites.
- SECURITY
- Guru Network shall take all reasonable steps to secure the content of the Website and the information provided by and collected from Users from unauthorised access and/or disclosure. However, Guru Network does not make any warranties or representations that content shall be 100% safe or secure.
- Subject to the provisions of sections 43(5) and 43(6) of the ECT Act, if applicable, Guru Network is under no legal duty to encrypt any content or communications from and to Users and is also under no legal duty to provide digital authentication of any pages on the Website.
- Users may not deliver or attempt to deliver, whether on purpose or negligently, any damaging code, such as computer viruses, robots or spy ware, to the Website or the server and computer network that support the Website.
- Notwithstanding criminal prosecution, any person who delivers or attempts to deliver any damaging code to the Website, whether on purpose or negligently, shall, without any limitation, indemnify and hold Guru Network harmless against any and all liabilities, damages, risks and losses that Guru Network and its partners / affiliates may suffer as a result of such delivery, attempt or damaging code.
- Users may not develop, distribute, or use any device or programme designed to breach or overcome the security measures of the restricted pages, products and services on the Website and Guru Network reserves the right to claim damages from any and all persons involved, directly and indirectly, in the development, use and distribution of such devices or programmes.
- Users who commit any of the offences detailed in sections 85 to 88 of the ECT Act shall, notwithstanding criminal prosecution, be liable for all resulting liabilities, losses, destruction or damages suffered and/or incurred by Guru Network and its partners / affiliates due to or related to these illegal actions.
- Information received on the Website from the User is held in a secure environment. Regular back-ups of all transactions and logs are made and kept by Guru Network or the Website’s host.
- DISCLAIMER AND LIMITATION OF LIABILITY
- Subject to the provisions of sections 43(5) and 43(6) of the ECT Act, if applicable, and as far as allowed by law, FNB and Guru Network (including its owners, employees, suppliers, Internet service providers, partners, affiliates and agents) shall not be liable for any damage (direct, indirect, special or consequential), to property or to any person, or any loss or liability of any nature incurred by whomever and resulting from:
- access to the Website;
- inability to access the Website;
- content available on the Website;
- the use of vouchers and services available from the Website;
- goods, products and / or services paid for via the Website;
- any other reason not directly related to Guru Network’s gross negligence.
- The User hereby indemnifies and holds FNB and Guru Network harmless against all claims of whatever nature and howsoever arising, including costs and expenses (which include costs on an attorney and own client scale) incurred as result of injury, loss or damage (whether direct or indirect, consequential or otherwise) to person or property suffered by the User or it employees, agents, guests or any member of the public as a direct, indirect or consequential result of any one or more of the items referred to in Clause 13.1 above and FNB and Guru Network shall at no stage be held liable by the User for any such claims, actions, damages or losses.
- The Guru Network Website is supplied on an "as is" basis and has not been compiled to meet the User's individual requirements. It is the responsibility of the User to satisfy himself or herself, prior to entering into this agreement with Guru Network, that the content available from and through the Website meet the User's individual requirements and is compatible with the User's computer hardware and/or software.
- Information, ideas and opinions expressed on the Website should not be regarded as professional advice or the official opinion of Guru Network and Users are encouraged to obtain professional advice before taking any course of action related to the information, ideas or opinions expressed on the Website.
- Guru Network does not make any warranties or representations that the contents and services available from the Website shall in all cases be true, correct or free from any errors. Guru Network shall, however, take all reasonable steps to ensure the quality and accuracy of content available from the Website.
- Guru Network does not make any warranties or representations that the Website shall be available at all times. Users acknowledge that the Website may be unavailable due to updates or other causes beyond the reasonable control of Guru Network, including, but not limited to virus infection, unauthorised access (hacking), power failure or other "acts of God."
- Guru Network does not make any warranties or representations regarding the goods, products and services available from the Website.
- REMOVAL AND CORRECTION OF CONTENT
Users are encouraged to report untrue, inaccurate, defamatory, illegal, infringing, and/or harmful content available from the Website to Guru Network and Guru Network undertakes to correct and/or remove such content or any part thereof if the person reporting such content provides sufficient info rmation to substantiate the alleged objectionable nature of the content.
- INTERCEPTION OF COMMUNICATIONS
- Subject to the provisions of the Regulation of Interception of Communications (RIC) Act 70 of 2002, the User consents and agrees to Guru Network’s right to intercept, block, filter, read, delete, disclose and use all communications (including all "data messages" as defined in the ECT Act) send or posted by the User to the Website, its staff and employees.
- The User agrees and acknowledges that the consent provided by the User in clause 15.1 satisfies the "writing" requirement as detailed in the ECT Act and the RIC Act.
- ENTIRE AGREEMENT AND SEVERABILITY
- These terms and conditions constitute the entire agreement between Guru Network and the User and shall take precedent over any disclaimers and/or legal notices attached to any communications and/or postings received by Guru Network from the User.
- Any failure by Guru Network to exercise or enforce any right or provision shall in no way constitute a waiver of such right or provision.
- In the event that any term or condition detailed herein is ruled to be unenforceable or invalid for any reason, such term(s) or condition(s) shall be severable from the remaining terms and conditions. The remaining terms and conditions shall remain enforceable and applicable.
- EXCLUSION OF PART 2 OF CHAPTER III OF THE ECT ACT
The User and Guru Network agree that:
- the User shall be bound to these terms and conditions and such agreement is concluded in Pretoria ( South Africa ) at the time the User enters the Website for the first time;
- data messages (as defined in the ECT Act) addressed by the User to Guru Network shall only be deemed to have been received if and when responded to;
- data messages (as defined in the ECT Act) addressed by the User to Guru Network shall be deemed to have been created and sent by the User from within the geographical boundaries of South Africa;
- electronic signatures, encryption and/or authentication is not required for valid electronic communications between the User and Guru Network; and
- the User agrees and warrants that data messages that are sent to Guru Network from a computer, IP address or mobile device normally used by or owned by the User, were sent and/or authorised by the User personally.
- APPLICABLE AND GOVERNING LAW
The Guru Network Website is hosted, controlled and operated from within the Republic of South Africa and therefore, subject to clause 5 the South African law governs the use of this Website, its content, services, products and these terms and conditions.
- LEGAL COSTS
Guru Network shall not be liable for costs incurred by Users to obtain professional advice relating to these terms and conditions.
- AGE
The User warrants the he or she is older than 18 years and that he or she has no legal or other restrictions to enter into this or any other agreement with Guru Network.
- THIRD PARTIES
No third party including but not limited to a vendor, supplier, service provider or subcontractor has the right or is authorized to bind FNB and Guru Network in any manner or form of whatsoever nature nor shall FNB and Guru Network be liable for any express, implied or tacit act or omission by any third party.
- ALTERNATIVE DISPUTE RESOLUTION
- Subject to urgent and/or interim relief, all disputes regarding: i) access and use of the Website; ii) the inability to access the Website; iii) the services and content available from the Website or iv) these terms and conditions, shall be referred to arbitration in terms of the expedited rules of the Arbitration Foundation of South Africa and such arbitration proceedings shall be conducted in Pretoria in English. The arbitration ruling shall be final and the unsuccessful party shall pay the costs of the successful party on a scale as between attorney and own client, unless the Arbitration Rules state otherwise. - These terms and conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa . Subject to the provisions of 22.1 the User hereby consents to exclusive jurisdiction of the High Court of South Africa in respect of any disputes arising in connection with the services referred to herein, or the terms or any matter related to or in connection therewith.
- COMPLAINTS AND SUGGESTIONS
Please address all complaints, return requests and comments or suggestions in writing to admin@gurunetwork.co.za.
- GENERAL
- Guru Network shall be entitled to cede, assign and delegate all or any of its rights and obligations in terms of this agreement.
- Should Guru Network be prevented from fulfilling any of its obligations to the User as a result of any event of force majeure, then those obligations shall be deemed to have been suspended to the extent that and for as long as Guru Network is so prevented from fulfilling them; the User’s corresponding obligations shall be suspended to the corresponding event. In the event that force majeure continues for more than fourteen days after it has first occurred then Guru Network shall be entitled (but not obliged) to terminate this agreement or any other agreement between the parties which is subject to or affected by the said force majeure and terminate all of its rights and obligations in terms of or arising out of such agreement by giving notice to the User thereof. An “event of force majeure” shall mean any event or circumstance whatsoever which is not within the reasonable control of including, without limitation, vis major, casus fortuitus, any act of God, strike, theft, riots, explosion, insurrection or other similar disorder, war (whether declared or not) or military operations, the downtime of any external telecommunications line, power failure, international restrictions, any requirement or any international authority, any requirement of any government or other competent local authority, any court order, export control or shortage or transport facilities.
- A certificate issued by an administrator of this Website shall constitute prima facie proof of any fact related to this Website, including but not limited to which version of the terms and conditions govern a particular dispute and what content was published or functionality was available on the Website at a specific point in time.
- The deeming provisions of the ECT Act are excluded to the effect that no message shall be deemed to have been received by Guru Network unless Guru Network acknowledges receipt thereof in writing.
